Rationale:
The rationale for this judgement in regard to the case between Schnuck v. First Data and Citicorp was how the court used different reviewed the terms of the contract and how it and is inquiry of law. The court system used the contract on how to understand the applicable financial loss that was sustained and whether which company’s’ claim supports the terms and conditions that were agreed upon. The defendants put forth a counterclaim saying that they were exposed to millions in damages due to leaked information and the agreements didn’t cover the entire amount of what was lost. The courts also noticed that the contract did not pertain to any information regarding the rules that create the liability for issuers losses or in
a issue where a data compromise arises. This information gave the courts notice that both of the companies were aware of all of the terms and conditions pertaining to any losses that may happen. This is what I think led to the court to not accept the defendant’s interpretations of the agreements made and the reason why the claim was denied.
The result is the Court refused the defendants’ claim, and they advised
the parties that there was a clear purpose for including the limitation of liability exception in the Agreement. Since both parties were aware of the agreement and the information was clearly stated beyond a reasonable doubt this was a just decision on the court’s part. The court also reviewed and denied First Data and Citicorp’s motion and granted Schnucks partial judgement. This was fair in the ruling to allow only a partial judgment. Schnuck is receiving their maximum amount of liability claim that could be given in the amount of $500,000 and for First Data and Citicorp to return the excess funds that they held.
