Ernst & Ernst, the auditor of First Securities, was taken to trial because of fraud committed by Leston Nay, the principal stockholder of First Securities. Ernst & Ernst was sued for negligence under the Federal Securities Act of 1934. Appeals courts, including the Supreme Court, had to decide if the statute did indeed include negligence. There are two distinctions that need to be made: the difference between negligence and fraud, and the difference between negligence and recklessness. Negligence relates to the failure to use professional care, while fraud relates to intentional misrepresentation or knowledgeable wrongdoing.
