Creating a business entity can seem like a daunting task. By following the steps below, it will become an easier and more seamless process. It is always best to consult an attorney when creating your new business entity in order to ensure that your new venture will be free from any problems, both in its creation and in the future. First: What will you call your new business entity? This may seem like an obvious first step, but it is more complicated than it seems. When creating the name of your business you have to take into consideration many marketing aspects. For example, what audience do you want to reach, what do you want to be known as (i.e. household name). A helpful consideration is to think of what you want your logo to be and perhaps the graphic will inspire you in coming up with a name. Also, when thinking of the name for your business entity, you want to check to make sure that the name you select is not similar to any name used in the state you are registering it in. In Texas, your business’s name cannot be the same or deceptively similar to either a filing or foreign filing entity, name reservation, or name registration filed with the Texas secretary of state. Furthermore, your business’s name cannot have a name that is similar or deceptively similar to a name that is currently on file with the Texas secretary of state unless that entity consents in writing that you may use a similar name.
