INTRODUCTION Mphasis is a one of the world's leading IT solutions company that offer Infrastructure services, Business Process Outsourcing (BPO) globally through a combination of domain and process expertise and technology. Mphasis Limited came to existence in June 2000 with the merger of the Indian IT company BFL Software Limited and the US-based IT consulting company Mphasis Corporation. BFL Limited was an Indian software firm run by the Bangur Foundation group. It struggled to grow because their functioning style was like an old economy and they did not pay proper heed to the advent of new software businesses. On the other hand Mphasis Corporation was found in 1998 by Jerry Rao and Jeroen Tas in California, USA [1]. Rao is the nephew of Infosys chairman Narayan Murthy. In the year 2000 BFL was looking to exit the IT business. But BFL’s 25 percent stake was controlled by Baring India Investments, a private fund sponsored by ING Group of the Netherlands.
