SFS Energy Finance Americas (SFS EF AM) requests the approval to commit up to CA$50.0 million (US$37.6 million) to Tems Sayamkwu LP’s (TSLP) CA$198 million (approximately US$149 million) fixed rate Construction/Term Loan (the “Term Loan”). The initial tenor of the Term Loan is seven years (initial maturity date: Nov. 2025) with about CA$176.5 million or 89% of balloon requiring refinancing. The debt financing also includes a CA$13 million line of credit facility and SFS EF AM will not participate in the LC facility. TSLP will construct, own, and operate three separate, run-of-river hydroelectric generating stations (“Narrow Inlet” or the “Project”). Altaqua Renewable Power Corp (10.6%) is a private company headquartered in British Columbia, Canada. Altaqua was the original developer of this project prior to May 2015 when BluEarth acquired a majority ownership. Tsain-ko Blue Run of River Limited Partnership (“shíshálh Nation”) (11.4%) is a First Nations band located in British Columbia, Canada. The Project is located within shíshálh Nation territory. BER’s subsidiary, BlueEarth Asset Management, Inc. (“BEAM”), will operate the plant pursuant to a long-term operating & maintenance agreement (the “OMA”). BEAM has over 20 years of experience in the renewable plant operations, including about 25 MW run-of-river and 9 MW of lake storage facility. The turbines will be supplied by Global Hydro, an Austrian company. The Pelton technology has been in use since 1870 to extract energy from moving water. Pelton turbines are mainly used for relatively low quantities of water. Jim Dent Construction Ltd. (JDC) (NR) is the Prime Contractor for the Project. Murphy Project Management Services Inc. (MRMS or the “Construction Manager”) (NR), under a construction management contract, is responsible for management of work being performed by multiple sub-contractors under individual fixed price, date certain contracts. BPA, a power marketing agency of the United States Department of Energy (DOE), supplies roughly half of the electricity used in the Pacific Northwest. The power that BPA markets comes primarily from 31 Federal hydroelectric projects (known collectively as the Federal Columbia River Power System, or FCRPS), and one non-federal nuclear plant. BPA is a co-manager of the Federal hydroelectric projects, but it does not own or operate them. Such responsibilities belong to the U.S. Army Corps of Engineers (Corps) and the U.S. Bureau of Reclamation (Bureau). For the purpose of this case study, Bureau of Reclamation owns and operates the dams and the Army Corps of Engineers builds and maintains the dams.

Water turbines are near the oldest ways to run power without using fossil fuels. The new age had turned these into hydro turbines that generally reside in dams. These machines take similar shape to wind turbines. Hidden in the base of a dam, there is a very large turbine that, in a simple explanation, when water runs through it spins. Since this project is not part of a program within the organization there is no defined process for the project. As such the project manager will make decisions on the project management processes used throughout the project.

Besides the fact that they have engaged in some projects similar to Metlakatla, the Taku River Tlingit are known to be tough and sensitive during contractual negotiations. This is seen when they reject a mining proposal on the basis that it significantly threatens a watershed. If the wind turbines were to work effectively it would be beneficial to be close to a water body rather than on land, as wind travels better over water. This same reason may restrict access to the full potential of the wind energy project if it were to be set in Taku River. This is a valid issue that will be faced during the partnership and if it is not possible to cooperate, it proves to be a motive to look elsewhere for the implementation of the wind

The design area chosen is aimed at providing the health clinics and posts with a more efficient water supply. Their current supply is collected through operating generators which were installed to pump the bored water into tanks close to the health clinic. However, the generators only run for a few hours a day due to insufficient funds for diesel. During the time the generators are not running the staff have to walk to the closest borehole to collect the water for use (Engineers Without Border, 2016). In this project, the contractor and the client have the same focus and priorities therefore the relationship between the contractor and client is good and there is no overruns or communication problems between both sides.
Construction projects are always unique and risks raise from a number of the different sources. Construction projects are inherently complex and dynamic, and involving multiple feedback processes. A lot of participants – individuals and organizations are actively involved in the construction project, and they interests may be positively or negatively affected as a result of the project execution or project completion. Different participants with different experience and skills usually have different expectations and interests. This naturally creates problems and confusion for even the most experienced project managers and contractors.
