ABC Corporation is a publicly-traded company (NASDAQ). The company engaged in the business of search engine optimization (SEO) by providing measurement and consulting services. The services are to improved companies with visibility and “rankings” on major search engines such as Google. Johnnie is the founder, the CEO, and the Chairman of the Board of Directors of ABC. However, there were numerous conflicts within the business. Therefore, as a consulting firm that has been employed by the ABC Board of Directors, we are going to see whether Johnnie, Tommy, and Estee violated the ABC Handbook on the following misconducts such as conflict of interest, lying, sexual harassment, and improper use of the company network.

The Categorical imperative says “one ought to act such that the principle of one’s act could become a universal law.” In essence, “you should not do to others as you want them to do onto you.” The Kantian approach says human beings should not be used as a means to an end. For example, Tommy knows about the material fact that Johnnie’s wife but he is afraid to get terminated if tommy revealed this material fact to DEF. Hence, it is unethical for Johnnie to terminate Tommy if he disclosed the material fact that Johnnie’s wife being a majority shareholder in DEF because he possesses the ability to do so. Therefore, it is tommy rights and duties as an officer to disclose material fact to DEF.
We have already mentioned whether it is ethical for Tommy to reveal material facts to DEF by using the Kantian approach. We concluded that it is unethical for Johnnie to fire Tommy if he disclosed material facts that Johnnie’s wife being a majority shareholder to DEF.
