Introduction:
The managers will often have an important economic incentive to maximize the value of shares. Commonly, the first incentive is that the managerial compensation is often tied to the financial performance in common to offer share value.
The second incentive the managers relate to the prospects of the job is to promote the top performers in the firm.

Ethical Challenge
One of the most complex ethical challenges facing for-profit organizations today is balancing their goal of being socially responsible with their obligation to shareholders to earn a profit. Firms generally hire executives to increase profits. No matter how much good a firm does in its community, if it doesn’t have a healthy bottom line, the executive may not be seen as a success. This is not unlike a college football coach who makes sure his players graduate every year, but consistently has a losing record. Odds are he won’t remain the coach very long, even though he does a number of socially responsible things.
Executives at privately held companies have the right to make socially responsible decisions that might sacrifice revenue. Executives at publicly held companies have to answer to their shareholders, who expect profits and share prices to grow. The Sarbanes-Oxley Act of 2002 was a necessary response to the corporate accounting scandals of the early 2000s. It brought much-needed reform to the regulatory framework for corporate accounting and reporting and increased the accountability of public companies and their auditors. While there are concerns about the costs of compliance and the impact on competitiveness, there is evidence to suggest that SOX has helped prevent fraudulent reporting and improve the quality of financial reporting. Nonetheless, there may be room for further improvement in the act's implementation to address any remaining issues and to ensure continued investor confidence in the US financial markets.
